These Terms of Service ("Terms") govern your access to and use of the Sunpura Energy website, including any related pages, features, tools, products and services, and the purchase of products from us through our online store.

The website is operated by Vidis GmbH ("Sunpura Energy", "we", "us" or "our"). By accessing our website or placing an order, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our website or place an order.

Nothing in these Terms affects your statutory rights if you are a consumer under applicable UK law.

2. Scope of These Terms

These Terms apply to all orders placed through our online store and to your use of our website. Any conflicting or additional terms proposed by you will not apply unless we expressly agree to them in writing.

Our website is intended only for persons aged 18 or over.

3. Products and Website Information

We aim to ensure that product descriptions, specifications, compatibility information, images, prices and other content on our website are as accurate as reasonably possible. However, images are for illustrative purposes only, and minor variations may occur.

Product availability is subject to stock. We reserve the right to update, modify or discontinue products, product descriptions or website content at any time, provided that this does not affect orders we have already accepted, except where changes are required to correct obvious errors or comply with law.

4. Ordering and Contract Formation

Product listings on our website are an invitation to treat and do not constitute a binding offer from us.

By clicking the button marked "Buy", "Complete Order", or any equivalent checkout confirmation button, you submit a binding offer to purchase the products in your basket.

After you place an order, you will receive an acknowledgement email. This does not mean that your order has been accepted. A contract is formed only when we accept your order by sending an order confirmation email or by dispatching the goods, whichever occurs first.

We may refuse or cancel an order before acceptance for legitimate reasons, including product unavailability, pricing errors, payment issues, suspected fraud, export or shipping restrictions, or legal or compliance concerns. If we do so after payment has been taken, we will refund the relevant amount paid.

5. Customer Account and Security

You may place an order as a guest or create a customer account where this option is available. You are responsible for keeping your login details confidential and for all activity carried out under your account unless caused by our failure to exercise reasonable care.

You must provide accurate, current and complete information when creating an account or placing an order.

6. Prices, Taxes and Shipping Charges

Unless otherwise stated, prices shown on our website are in the currency displayed at checkout and include VAT only where clearly indicated as inclusive.

Shipping charges, and where applicable any other clearly identified charges payable to us at checkout, will be shown separately during the order process before you place your order.

For deliveries outside the European Union or into jurisdictions with separate import procedures, import VAT, customs duties, clearance fees or carrier handling fees may apply unless expressly stated otherwise at checkout.

7. Payment

We may offer various payment methods, including card payments, PayPal, Apple Pay, Google Pay, Klarna and other third-party payment services.

Payment must be made at the time of order unless an alternative payment arrangement is expressly offered at checkout. If a third-party payment provider is used, that provider’s own terms and conditions may also apply to the payment transaction.

We reserve the right to carry out verification checks and to refuse or cancel an order where payment authorisation fails, fraud is suspected, or the transaction cannot be completed lawfully or securely.

8. Delivery and Shipping

Delivery will be made to the delivery address provided in your order. Estimated delivery times are indicative only unless we have expressly agreed a guaranteed delivery date.

Certain products, including solar panels, large battery systems or complete kits, may be shipped by freight carrier. Unless expressly agreed otherwise, freight deliveries are generally made to the curbside only. You are responsible for ensuring that the delivery address is accessible and that appropriate arrangements are in place to receive and move the goods from the point of delivery.

If delivery cannot be completed because of incorrect address details, failed delivery appointments, or lack of acceptance at the agreed delivery time, we may charge you the direct and reasonable costs of failed delivery, storage or redelivery where permitted by law.

9. Risk and Title

Risk in the goods passes to you when the goods are delivered to you or a person identified by you to take possession of them.

Title to the goods remains with us until we have received payment in full for the goods and any amounts properly due to us in relation to the order.

10. Consumer Cancellation Rights

If you are a consumer in the United Kingdom and you purchase goods online, you generally have the legal right to cancel your contract within 14 days after the day on which you receive the goods, without giving any reason, subject to any legal exceptions.

To exercise your right to cancel, you must clearly inform us of your decision within the cancellation period. After notifying us of cancellation, you generally have a further 14 days to return the goods.

Unless the goods are faulty or not as described, you are responsible for the direct cost of returning the goods. For freight items or products requiring special transport arrangements, return costs may be higher.

We may withhold reimbursement until we have received the returned goods or you have provided evidence that you have sent them back, whichever occurs first, where permitted by applicable law.

11. Consumer Rights for Faulty, Misdescribed or Non-Conforming Goods

If you are a consumer, we are under a legal duty to supply goods that conform to the contract. This means, among other things, that goods must be of satisfactory quality, fit for their usual purpose and any purpose made known to us, and match their description.

If goods are faulty, damaged, not as described, or otherwise do not conform to the contract, you may be entitled to remedies under applicable law, which may include repair, replacement, price reduction or refund, depending on the circumstances.

Nothing in these Terms excludes or limits any rights that cannot lawfully be excluded.

12. Manufacturer Warranties

Some products may be sold with a voluntary manufacturer warranty. Any such warranty is offered by the manufacturer and is separate from your legal rights against us as the seller. Your statutory rights remain unaffected.

13. Installation, Use and Technical Compliance

Our products must be installed, connected, used and maintained in accordance with the relevant product documentation, safety instructions and any applicable technical, electrical or local regulatory requirements.

To the extent permitted by law, we are not responsible for loss or damage caused by improper installation, misuse, unauthorised modification, failure to follow instructions, unsuitable site conditions, incompatible third-party equipment, or non-compliance with applicable technical or grid connection requirements.

Where professional installation or inspection is appropriate, we strongly recommend that you use a suitably qualified installer.

14. Software, Firmware and Digital Features

Where products include software, firmware, mobile applications, cloud features or other digital components, we grant you a limited, non-exclusive, non-transferable right to use such components solely as necessary to use the product as intended, subject to any end user licence terms provided with the product or service.

You must not, except to the extent permitted by mandatory law, copy, modify, reverse engineer, decompile, disassemble or otherwise attempt to derive source code from any software or firmware provided with the product.

We may provide updates, patches, bug fixes or security updates where appropriate. Any digital content or digital services we supply will be subject to applicable consumer law requirements.

15. Acceptable Use of the Website

You must not misuse our website, introduce malicious code, attempt unauthorised access, interfere with website functionality, use automated means to scrape or harvest data except where permitted by law, or use the website for unlawful or abusive purposes.

We may suspend or restrict access to the website where reasonably necessary for security, maintenance, legal compliance or to address misuse.

16. Intellectual Property

All content on our website, including text, graphics, logos, images, product content, software and design elements, is owned by us, our affiliates, licensors or other rights holders and is protected by intellectual property laws.

You may use the website only for your personal, lawful, non-commercial shopping and information purposes unless we expressly agree otherwise in writing.

17. Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Subject to the above, if you are a consumer, we are responsible for foreseeable loss or damage caused by our breach of these Terms or our failure to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable.

We do not exclude liability for damage to your property caused by faulty goods where such liability cannot lawfully be excluded.

If you are a business customer, and to the extent permitted by law, our total liability arising out of or in connection with the contract shall be limited to the price paid for the relevant goods, and we shall not be liable for any indirect or consequential loss, loss of profit, loss of business, loss of contracts or loss of anticipated savings.

18. Force Majeure

We are not liable for delay or failure to perform our obligations to the extent caused by events beyond our reasonable control, including natural disasters, war, terrorism, strikes, transport disruption, supply chain interruption, pandemics, governmental action, power failures or failures of telecommunications networks.

Where such an event affects performance, we will take reasonable steps to minimise the impact and resume performance as soon as reasonably possible.

19. Battery, Electrical Equipment and Recycling Information

Certain products may contain batteries, accumulators or electrical and electronic equipment. These items must not be disposed of in household waste where separate collection is required by applicable law.

You are responsible for disposing of used batteries and electrical equipment through appropriate collection, recycling or take-back channels available in your jurisdiction.

20. Privacy and Cookies

We process personal data in accordance with our Privacy Policy. Our website may use cookies and similar technologies in accordance with applicable law and our cookie notices or consent tools.

21. Changes to These Terms

We may update these Terms from time to time to reflect changes to our business, products, legal requirements or website functionality. The version published on our website at the time you place your order will apply to that order.

22. Governing Law and Jurisdiction

These Terms and any contract for the sale of goods are governed by the laws of England and Wales, except that if you are a consumer resident in Scotland or Northern Ireland, you may also rely on any mandatory provisions of the law of your country of residence and may bring proceedings in your local courts where applicable.

If you are a consumer, disputes may be brought in the courts of England and Wales or, where applicable, in the courts of your part of the United Kingdom. If you are a business customer, the courts of England and Wales shall have exclusive jurisdiction, unless otherwise required by mandatory law.

23. Severability

If any provision of these Terms is held to be unlawful, invalid or unenforceable, the remaining provisions shall remain in full force and effect.
